Recently，a number of studies have been reported in the literature for the realization of all-pass network using operational amplifiers，gyrator and N. I. C.. However，the problem of circuit sensitivity will occur in these networks. In part (1) of this paper，we have shown a first-order all-pass network，in which a transistor is employed just to take the place of a transformer. From the same point of view，this paper describes the realization of a second-order all-pass，and shows that the phase shift can be changed continuously. 最近の論文で，演算増幅器 ・ジャイレータ ・NICを用いたall-pass回路について報告されているが，これらのall-pass回路は回路安定性が問題となる。第一報では，Bilinear Theorem により変成器の代りにただ一個lのトランジスタを用い一次型all-pass回路を実現した。この論文lこ於いては同様な観点から，二次型all-pass回路を示し，移相が連続可変可能であることを報告する。
